You agree not to use any material without express written permission of GIS. You agree that you do not acquire any ownership rights in any downloaded content.
Distribution of GIS materials outside of your university membership is prohibited. You may search, retrieve, display, download, and print content from the Services solely for your personal research and references. You shall make no other use of the content without the express written permission of GIS or McAllister & Quinn.
Except as expressly permitted in the TOS, you shall not (i) recirculate, distribute, scrape, store, transmit, publish, broadcast, copy, download, create derivative works or otherwise use the Service or any portion thereof in any form or by any means except with the prior written consent of GIS or its affiliates, and the consent of certain third-party providers data or of portions of the Service, as applicable; (ii) share, recompile, decompile, disassemble, reverse engineer, or make or distribute any other form of, or any derivative work from, the Service or any portion thereof; or (iii) store any data or portion of the Service in, or route the same to, any database or server. Policies and Forms. Some GIS’s Services contain sample policies, forms, and checklists and documents that you may adapt to your organization. You are granted a specific license to modify such documents. However, this license does not include the right to resell the documents, to create a product for sale, or to share them outside of your organization. This license is perpetual.
Training materials. The Services contain materials that you may download and use within your organization if you remain a member of GIS. You may display such training materials within your university. However, they may not be distributed via your organization’s intranet or the internet or loaded into a learning management system without specific written permission from GIS.
Certain training materials and webinars are available as versions that include audio narration. These materials may be played via the GIS website for classroom use or for training of individuals within the university. However, they may not be downloaded, stored on your intranet or the internet, or loaded into a learning management system without specific written permission from GIS or McAllister & Quinn.
Prohibited uses. You will not modify, publish, distribute, transmit, participate in the transfer or sale, translate, create derivative works, or in any way exploit other than as set forth herein, any of the content, tools or technology, in whole or in part, found on the Services. Further, you shall not engage in any systematic downloading or other activity directed towards any of the content, in whole or in part, found on the Services that would create any electronic database or archive containing such content. Registration and User ID. As part of the registration process certain registration information may be provided to GIS. You represent that (i) you have completed any registration process necessary to use this Site, and (ii) any registration information you provide is accurate and truthful. You shall promptly update the registration information through the Service or as otherwise directed by GIS to keep such information true, accurate, and up to date. Each registration is for a single user only. GIS reserves the right to deny creation of your account based on GIS’s inability to verify the authenticity of your registration information. Members must have an active “.edu” email address to register for the service.
Passwords. GIS provides you with the ability to select a username, you shall not: (i) select a username already used by another person; (ii) use a username in which another person has rights without such person’s authorization; or (iii) use a username or password that GIS identifies as offensive or inappropriate. You agree to treat your username and password as confidential and not to disclose such User ID, either directly or indirectly, to any person. You are fully responsible for all of your usage of and activity relating to the Service including, but not limited to, any use of the User ID. Only you may access a password-protected portion of the Service through the User ID and access may not be shared with any other person or used in any manner that is inconsistent with the TOS. You assume all responsibilities and obligations with respect to any decisions or advice made or given as a result of the use of the service and interaction with the GIS Advisors, including without limitation any decision made or action taken by you in reliance upon the service or interaction with the Advisors.
Linking and Framing. You may not link your web site to any other web pages of GIS and you may make no other use of the marks, names, or logos of GIS or its affiliates without express written permission from GIS or its affiliates. Any violation of this provision may, in GIS’s or any of its affiliate’s discretion, result in termination of your use of and access to this Site effective immediately.
Rights in submissions. You warrant that any material or information that you make available through the Services, including, for example, documents you may post to your dashboard, is solely your original work, or that you have all necessary rights to make the material or information of any other person or entity available on the Services. Materials and institutional research and data shared with GIS Advisors will not be shared or made public to other members on the GIS website. GIS and its Advisors disclaim any responsibility and assume no liability for any material submitted by you or any third party.
User data. GIS reserves the right to collect and use data about you and your use of the Service for purposes such as, for example, performing statistical analyses to assist us in improving the Service. GIS further reserves the right to distribute such data in forms that do not identify you individually or reveal your identity. GIS may also distribute such data in forms that identify you individually or reveal your identity to affiliates, partners and to third parties with a contractual relationship with GIS. You may not cancel or terminate your subscription the first year of service. After the first year, your GIS membership will continue and automatically renew until terminated. You must cancel your membership before it renews in order to avoid billing of the membership fees for the next billing cycle.
GIS reserves the right to terminate your access to and use of the Service, or any portion thereof, and temporarily or permanently to block access to the Service, including the ability to download any content, at any time without notice and effective immediately if found to be in violation of the TOS. GIS reserves the right to terminate membership without recourse or a refund if you are found in violation of distribution. You shall not use any of GIS or its affiliates’ trademarks, trade names, or service marks in any manner that creates the impression that such names and marks belong to or are identified with you or that you are associated with or licensed by GIS or its affiliates to use such names or marks, and you acknowledge that you have no ownership rights in or to any of these names or marks. Changes to the Price and Subscription Plans. GIS reserves the right to change our subscription plans or adjust pricing for our service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Payments are nonrefundable and there are no refunds or credits for partially used membership periods. Following any cancellation, however, you will continue to have access to the service through the end of your current billing period.
GIS also reserves the right to terminate the TOS or your access to and use of the Service, or any portion thereof, in its sole discretion, at any time without notice and effective immediately. The TOS and your access to the Service will terminate immediately without notice from GIS if you, in GIS’s sole discretion, fail to comply with any provision of the TOS. Upon termination of the TOS by you or GIS, you must discontinue your use of the Service.
Payment terms. If you become a paid subscriber of GIS, you will be bound by the payment terms set forth herein. Access to premium areas of the Services requires payment. You must provide accurate, complete and updated member information when you register. You acknowledge that you will pay GIS all such fees, charges, and applicable taxes for the Services where enrollment in the Services has been made using your credit card whether made by you personally or by someone else at your university on your behalf.
Use of Service. You further acknowledge that your obligation to pay GIS for the Service does not depend on usage of the Service, and that you remain obligated to pay GIS for the Service regardless of whether the Service is used or not. Your obligation to pay for the Service begins on the date of your enrollment in the Service, not the date of your first use of the Service. GIS will make every effort to ensure you are satisfied with your purchase.
Communication Preferences. When you visit this Site, you consent to receive communications from GIS electronically. We will send you information relating to your account (e.g. payment authorizations, changes in password or Payment Method, confirmation messages, notices) in electronic form only, for example via emails to your email address provided during registration. The parties hereby consent to sole and exclusive jurisdiction in the courts (whether federal or state) of the District of Columbia and agree that any litigation shall be brought therein. The parties hereby waive a trial by jury in any action, proceeding, or counterclaim brought or asserted by either of the parties hereto against the other, on any matters whatsoever arising out of this Agreement.
